These Terms of Service explain the rules and conditions for using the NGU Media website, contacting us, purchasing digital products, booking consultations, or working with NGU Media for digital services.
By using our website, submitting a form, booking a call, purchasing a product, or engaging NGU Media for services, you agree to these Terms of Service.
1. Who We Are
NGU Services LLC, doing business as NGU Media, provides digital marketing and website creation services internationally, with a focus on Trinidad and Tobago, Guyana, Barbados, and the United States.
Our services may include website design, website development, brand identity, SEO, Meta ads, conversion systems, website optimization, custom AI solutions, digital products, and related digital marketing support.
2. Use of Our Website
You agree to use our website only for lawful purposes.
You must not:
Use the website for fraudulent activity
Attempt to hack, damage, or disrupt the website
Copy or misuse our content, branding, or intellectual property
Submit false, misleading, or harmful information
Use our website to send spam or malicious content
Attempt to access private systems, client areas, or restricted information without permission
We reserve the right to block, restrict, or take action against any user who misuses our website or services.
3. Services Offered
NGU Media may offer services including, but not limited to:

Brand authority packages
Logo direction and brand identity support
SEO and search visibility
Google Business Profile support
Meta ads and traffic strategy

Website maintenance and support
Consulting and strategy calls
Specific deliverables, timelines, pricing, and responsibilities will be outlined in a proposal, invoice, agreement, or written communication before work begins.
4. Quotes, Proposals, and Scope
Any quote, estimate, or proposal provided by NGU Media is based on the information available at the time.
Project pricing may change if:
The project scope changes
Additional pages are requested
Additional features are requested
The client requests new functionality
Content requirements increase
Third-party tools or subscriptions are needed
The project requires more time, complexity, or custom development than originally discussed
NGU Media is not responsible for completing work that falls outside the agreed scope unless both parties agree to the additional work and pricing.
5. Payments and Deposits
Most NGU Media projects require a deposit before production begins.
Unless otherwise stated in writing, the standard payment structure is:
50 percent deposit to begin
50 percent final payment before launch or final delivery
Larger projects may use phased payments, such as deposit, mid-project payment, and final payment.
NGU Media does not begin design, development, or production work until the required deposit has been received.
Final files, website launch, transfer, or publishing may be withheld until outstanding balances are paid.
6. Late Payments
Invoices must be paid by the due date listed on the invoice or agreement.
If payment is late, NGU Media may pause work, delay delivery, withhold launch, suspend support, or restrict access to deliverables until payment is received.
NGU Media is not responsible for missed deadlines caused by late payments.
7. Client Responsibilities
To complete projects properly, clients may need to provide:
Business name
Contact information
Logo
Brand colors
Brand assets
Business description
List of services
Photos or videos
Team or location images
Social media links
Website access
Domain or hosting access
Product details, if applicable
Examples or inspiration
Feedback and approvals
Any other content required for the project
The client is responsible for providing accurate information, legal content, appropriate permissions, and timely feedback.
Delays in sending content, access, payment, or approvals may delay the project timeline.
8. Project Timelines
Project timelines depend on the scope, number of pages, features, client feedback, and how quickly required materials are provided.
Most standard website projects may take around 2 to 4 weeks, but larger websites, e-commerce websites, inventory systems, custom AI systems, or complex projects may take longer.
Timelines are estimates unless specifically stated as guaranteed in a written agreement.
NGU Media is not responsible for delays caused by:
Late content
Late payment
Late feedback
Third-party platform issues
Hosting or domain issues
Client-requested changes
Technical problems outside our control
Force majeure events or circumstances beyond reasonable control
9. Revisions
Revision rounds depend on the package or agreement.
A revision means a reasonable change to work already created based on the agreed scope.
Revisions do not include:
A complete redesign after approval
A change in business direction
New pages outside the original scope
New features outside the original scope
New branding outside the original scope
Major structural changes after approval
Changes caused by incomplete or incorrect client information
Additional revisions or out-of-scope changes may require an additional fee.
10. Approvals
Once a client approves a design, page, structure, feature, or deliverable, NGU Media may move forward with the next stage of the project.
Changes requested after approval may affect the timeline and may require additional fees.
11. Website Launch
Before launching a website, NGU Media may require:
Final payment
Final content approval
Domain access
Hosting access
Client approval for launch
Completion of required third-party setup
Any required legal pages or business information
NGU Media is not responsible for delays caused by missing access, incomplete content, third-party approval issues, or unpaid balances.
12. Hosting, Domains, and Third-Party Tools
Some projects may require third-party services such as hosting, domains, plugins, software, payment processors, booking tools, email platforms, CRM tools, analytics tools, or AI platforms.
Unless stated otherwise, third-party costs are not included in NGU Media’s service fee.
Clients are responsible for maintaining their own accounts, subscriptions, renewals, licenses, and login credentials for third-party platforms.
NGU Media is not responsible for outages, price changes, policy changes, account suspensions, or service issues caused by third-party providers.
13. SEO and Advertising
NGU Media may provide SEO, search visibility, Meta ads, Google setup, traffic strategy, and related marketing services.
While we aim to improve visibility, traffic, leads, and performance, we do not guarantee specific rankings, sales, ad results, revenue, or customer volume.
SEO and advertising results can depend on many factors, including competition, market conditions, budget, website quality, offer strength, content, reviews, platform changes, and user behavior.
14. Custom AI Solutions and Automations
NGU Media may provide AI chatbots, lead qualification systems, inquiry assistants, workflow automations, admin tools, or AI-supported systems.
AI tools are designed to support business operations, improve response time, organize information, and reduce repetitive tasks.
AI-generated responses, summaries, or recommendations may not always be perfect. Clients are responsible for reviewing important information, decisions, customer communication, legal matters, payment matters, and business-critical outputs.
NGU Media is not responsible for losses caused by misuse of AI tools, inaccurate information provided by users, third-party AI platform issues, or failure to monitor automated systems.
15. Digital Products and Templates
NGU Media may sell digital products such as Canva templates, brand templates, caption prompts, guides, or other downloadable resources.
Because digital products are accessible immediately after purchase, all digital product sales are final unless otherwise required by law.
Digital products may not be resold, redistributed, copied, transferred, or claimed as your original product.
16. Refunds and Cancellations
Deposits are generally non-refundable once work has started, as they reserve time, planning, strategy, and production capacity.
Refund eligibility depends on the project stage, work completed, agreement terms, and reason for cancellation.
If a client cancels a project after work has begun, NGU Media may retain payment for work already completed, time spent, tools used, planning, strategy, communication, and resources allocated.
Digital products are final sale once purchased or accessed.
17. Intellectual Property
Unless otherwise agreed in writing, NGU Media retains ownership of drafts, concepts, rejected designs, processes, strategy documents, internal systems, source files, code structures, templates, and working files created during the project.
After full payment is received, the client may receive ownership or usage rights to the final approved deliverables created specifically for them, subject to the terms of the agreement.
NGU Media may display completed work in portfolios, case studies, social media, proposals, and marketing materials unless the client requests confidentiality in writing and NGU Media agrees.
18. Client Content and Legal Responsibility
Clients are responsible for ensuring that all content, images, logos, videos, copy, product details, claims, testimonials, licenses, and materials they provide are accurate, legal, and properly authorized for use.
NGU Media is not responsible for copyright issues, false claims, misleading statements, product compliance issues, or legal problems caused by client-provided content.
19. Confidentiality
NGU Media will take reasonable steps to keep private client information confidential.
However, confidentiality does not apply to information that is publicly available, independently developed, already known, required by law, or necessary to share with contractors, platforms, or service providers involved in delivering the project.
20. Communication
NGU Media may communicate through email, WhatsApp, phone, project management tools, forms, video calls, or other agreed channels.
Clients are responsible for responding in a timely manner. Long periods of inactivity may delay the project or require rescheduling of production time.
21. Maintenance and Support
Unless included in a written agreement, ongoing support, updates, maintenance, SEO, ads management, backups, security checks, plugin updates, content updates, or future changes are not automatically included after launch.
Ongoing services may be offered as a separate monthly or project-based service.
22. Limitation of Liability
To the fullest extent permitted by law, NGU Media is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, lost revenue, lost data, business interruption, advertising losses, ranking drops, platform issues, or third-party service failures.
NGU Media’s total liability for any claim related to a service shall not exceed the amount paid by the client for the specific service giving rise to the claim.
23. No Guarantee of Business Results
NGU Media provides digital services intended to improve branding, online presence, visibility, conversion flow, and marketing systems.
However, we do not guarantee specific sales, revenue, leads, search rankings, ad results, customer behavior, or business outcomes.
Business results depend on many factors outside NGU Media’s control.
24. Termination
NGU Media may terminate or pause services if a client:
Fails to pay
Fails to provide required information
Misuses our services
Acts abusively toward our team
Requests illegal or unethical work
Repeatedly delays the project
Breaches these Terms of Service or any written agreement
The client remains responsible for payment for work completed up to the termination date.
25. Privacy
Use of our website and services is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information.

26. Changes to These Terms
NGU Media may update these Terms of Service from time to time. The updated version will be posted on this page with a new “Last Updated” date.
Continued use of our website or services after changes are posted means you accept the updated Terms.
27. Governing Law
Unless otherwise required by applicable law or agreed in writing, these Terms are governed by the laws of the State of New Mexico, United States.
